Biography
I have served as General Counsel to a Fortune 500 Company, Carnival Cruise Lines, Inc., and have practiced in both large and medium size law firms. I have also worked for and with State and Federal agencies in regulatory matters and litigation. As the in-house General Counsel for Carnival Cruise Lines, during its explosive growth period, I developed considerable expertise in all facets of corporate governance and management, including intellectual property, securities, anti-trust issues and every imaginable type of litigation and contractual matter. During this period major events, coordinated and directed through my Office, included Carnival's Initial Public Offering; the due diligence process for the purchase of Holland-America Line; New Ship Construction; acquisition, licensing and development of Cable Beach Casino and related properties (The Bahamas); the creation of Carnival Airlines; and the development of Carnival's international intellectual property program. I have directed other counsel in major anti-trust, intellectual property and international litigation and have been principal counsel on large international and domestic arbitrations. I have been directly involved in negotiations in both domestic and international contractual transactions valued in the hundreds of millions of dollars. I also worked closely with Ted Arison, the multi-billionaire founder of Carnival, along with outside counsel, in the planning and structure of his Estate Plan, and represented Mr. Arison personally in other major civil litigation matters.
CURRENT PRACTICE
My practice consists of transactional, corporate, contractual, real property and commercial matters as well as security law. I continue to represent clients involved in and about the Cruise Industry. I am substantially involved in areas of the law including real estate and estate planning. I have represented a wide variety of domestic and international clients, both corporate and individual, in such diverse geographical locations as South Florida, New York, Israel and Nicaragua, as well as North Carolina and throughout the United States.
My Firm utilizes state-of-the-art technology and cost-effective methods to provide services in a timely, client-oriented and ethical manner, in a friendly and professional environment. My approach focuses on each client’s background, needs, and goals, and is committed to responding promptly to telephone calls, to reporting on cases regularly, and to minimizing and eliminating risk by informing clients of significant changes in the law.

BUSINESS AND COMMERCIAL LAW
I provide a wide variety of services to my business clients from assisting in selecting the type of organizational entity under which to operate, preparation of agreements, sale and purchase of businesses, obtaining financing and funding for business operations, and employee relations.
During my career I have encountered many businesses that, over time, have developed a (false) sense of invincibility, only to be confronted by protracted and costly litigation; or regulatory intervention by governmental authorities, over matters which could have been avoided or mitigated had a few preventive measures been taken based on sound legal advice.
Over time, as a company grows, its relationships with employees, the public, as well as local and far-reaching governmental agencies change, presenting vulnerabilities. There are fundamental steps that should be taken early on, either to avoid or ameliorate potential problems; but should problems arise, businesses need the expertise in "loss prevention" offered by my Firm.
PHILOSOPHY
It is my philosophy that prevention of legal problems is paramount in any professional representation; the goal is to keep my individual and business clients out of Court. In my 40 years of experience, this seems contradictory to the philosophy of many lawyers, and, accordingly, the public's perception of the legal profession.
